| Sell your Products through Music for Maize |
 |
Music for Maize will gladly provide independent artists and writers with a point of sale for their CD's and books. If you would like us to list and sell your product on this site and through any of our existing and future retail channels, you need to follow three simple steps:
1. Download and complete a listing application form and fax it to 086 670 7672.
2. Email a JPEG image (scanned at 300dpi and minimum size of 300 x 300 pixels), a short biography on the artist (in afrikaans and english), as well as a product discription which includes the complete track listing (in afrikaans and english), to johrne@musicformaize.co.za.
3. Get some stock to us. Stock must be delivered or couriered to Graffiti Books, Kolonnade Shopping Centre, Zambesi Drive, Montana Park, Pretoria.

Terms and Conditions of Listing
The Product (hereafter referred to as “The Product”)
The Owner hereby declares that he/she is the legal owner of The Product.
The Owner furthermore declares that The Product was manufactured by accredited manufacturers and that The Product complies with acceptable industry standards. The Owner states that all legal requirements with regards to copyrights, intellectual property and any other matters related to the manufacturing of The Product, had been met.
The Owner indemnifies Music for Maize, its officers, agents, directors and employees against any costs or damages that may be incurred by Music for Maize as a result of claims or charges made against Music for Maize for infringement of any right, arising out or pursuant to the exercise by Music for Maize of its rights or the fulfillment or breach by The Owner of any of its obligations in terms of this agreement and such indemnity shall extend to the reasonable costs that may be incurred by Music for Maize in defending any action against it.
The Owner shall, when called on to do so by Music for Maize, provide all reasonable information, licences, consents, materials, co-operation and/or assistance to Music for Maize to enable Music for Maize to prove The Owner’s ownership of the legally manufactured Product and Music for Maize’s right to sell it to its customers.
Authorization
The Owner hereby authorizes Music for Maize to sell The Product to its customers for the purpose of making a financial profit.
Music for Maize will initially sell The Product on its website, situated at URL www.musicformaize.co.za, from where orders and payments will be processed and executed electronically. Products sold will be delivered to customers by registered mail or by courier. It is, however, understood that Music for Maize reserves the right to sell The Product through any outlet, retail channel or point-of sale it may own, rent, control, or have trade agreements with, now or in future for the duration of this agreement.
The Owner furthermore grants permission to Music for Maize to list and display The Product or a graphic representation thereof in all of its catalogues, advertising material and outlets as described previously.
It is noted, that in terms of this Agreement, Music for Maize is only permitted to sell The Product in its physical format, as supplied by The Owner. The sale of digital or electronic versions of The Product is prohibited, but may be negotiated in future under a separate agreement.
The Catalogue Information provided by The Owner in Sections 3 of the Listing Application form, will be used to classify, categorize and describe The Product and its content to customers in Music for Maize’s catalogues and/or product lists and/or outlets.
Materials to be supplied in addition to the completed Listing Application
The Owner will supply Music for Maize with:
1. A recent Biography on the artist(s) or writer(s) of The Product
2. A press release or similar information sheet on The Product itself
3. An electronic copy of The Product’s sleeve design. This must be delivered in JPEG format, scanned at a minimum of 300 dpi, and with a minimum size of 300 x 300 pixels
4. The URL(s) to The Product and/or The Owner’s website(s) on the World Wide Web
5. The Owner’s logo. This must be in JPEG format, scanned at a minimum of 300 dpi
Music for Maize reserves the right to alter, modify or amend all information supplied by The Owner with regards to The Product, at its discretion.
Although Music for Maize may choose to display The Owner’s logo, or links to his/her website(s) or website(s) related to The Product, it is under no obligation to do so.
Pricing
The PPD (Price Per Dealer), as stated in the completed Listing Application form, is the price at which Music for Maize will buy each unit of The Product from The Owner for the duration of this agreement.
The PPD normally is the set wholesale price at which retailers will buy The Product from record companies or their distributors and therefor also the price that was used to calculate royalties to the owners of intellectual property and copyrights during the manufacturing process of The Product.
The Suggested Retail Price as stated in the completed Listing Application form, is considered by all parties to be a suggestion only, but it should be a guideline as to what The Product would sell for through other retail channels. The Actual Retail Price at which customers will buy The Product from Music for Maize, will be determined by Music for Maize at its sole discretion.
It is, however, agreed that the Actual Retail Price at which Music for Maize will sell The Product to its customers, will be calculated as follows:
• PPD as determined by The Owner and stated in the completed Listing Application form
• Plus the portion allocated to the Product Beneficiary (hereafter referred to as “The Beneficiary’s Portion”) as chosen by The Owner and described in the completed Listing Application form
• Plus a portion that will represent Music for Maize’s mark-up (hereafter referred to as “Music for Maize’s Portion). This amount will be more or less equal to The Beneficiary’s Portion and will be utilized for company expenses and overhead costs
• Plus Transaction costs (this currently amounts to R 1.50 per transaction plus 3.5% of the total transaction value)
The total will represent the Actual Retail Price, exclusive of VAT.
Stock
The Number of initial units as stated by The Owner in the completed Listing Application form, represent the number of units of The Product that The Owner must deliver to Music for Maize before The Product will be listed in its catalogues or offered for sale to its customers.
The Owner agrees to provide Music for Maize with one complimentary unit of The Product. Music for Maize will utilize this unit for archive, marketing and administrative purposes.
It is agreed that The Owner will supply stock to Music for Maize on a consignment basis. This means that Music for Maize will only pay The Owner for units that were actually sold and that remaining stock will be returned to The Owner at no further cost to Music for Maize upon the termination of this agreement.
Music for Maize will notify The Owner when the number of units in stock become too low to guarantee our ability to supply the projected demand by our customers. The Owner undertakes to supply Music for Maize with additional stock as ordered, within a reasonable timeframe.
All costs with regard to the delivery of stock to Music for Maize, will be for The Owner’s account.
The Owner agrees to inform Music for Maize immediately if his/her ability to supply stock to us, is compromised due to availability, discontinuance of The Product or for any other reason whatsoever. Music for Maize then reserves the right to remove The Product from our catalogue permanently or temporarily, depending on the nature of the problem at hand.
Payments and Reports
Music for Maize will provide The Owner with a written sales report on a quarterly basis. This report shall reflect the number of units sold during the preceding 3-month period, the number of units still in stock, and the amount of money that was allocated to The Product Beneficiary.
Upon receipt of the said sales report, The Owner will provide Music for Maize with a valid Tax Invoice reflecting the number of units sold at the PPD chosen by The Owner and as stated in the completed Listing Application form.
Music for Maize shall make payment within 10 working days after receipt of the said Tax Invoice. All payments shall be made by means of an Electronic Funds Transfer into a bank account chosen and specified by The Owner.
Beneficiaries
The Product Owner may nominate his/her Own Product Beneficiary, in which case all details must be specified and stated in the completed Listing Application form. If no Beneficiary Details are stated and contained in the completed Listing Application form, or if The Owner chooses to do so, The Music for Maize Main Food Account will automatically become The Product Beneficiary.
The Beneficiary’s Portion from the sale of each unit of The Product, shall be kept by Music for Maize in a virtual account allocated to the chosen Beneficiary.
Music for Maize shall, as soon as the balance of The Beneficiary’s virtual account warrants the expense of delivery, and in co-ordination with The Beneficiary, use the available funds in The Beneficiary’s virtual account to buy a selection of basic foods which will be donated and delivered to The Beneficiary. The Beneficiary shall not be entitled to receive any cash or money from Music for Maize.
It is agreed that the value of the The Beneficiary’s Portion as mentioned earlier, will be determined by Music for Maize.
Details of all donations made to The Product Beneficiary will be included in the quarterly sales report to The Owner as described earlier. Music for Maize may furthermore choose to publicly display or publicize any such details from time to time.
Upon submission of the completed Listing Application form, Music for Maize shall be entitled to investigate the activities of The Beneficiary in order to ensure that The Beneficiary, in its opinion, qualifies for support from Music for Maize. If, in its opinion, and for whatever reason, The Beneficiary is not a suitable candidate, Music for Maize reserves the right to terminate this agreement immediately or to suspend this agreement until such time as The Owner can nominate a new and suitable Beneficiary. It is noted that only Beneficiaries looking after or responsible for children under the age of 18, can qualify for support from Music for Maize.
Where The Music for Maize Main Food Account is the Product Beneficiary, the funds in the virtual account may be utilised to help Beneficiaries chosen by Music for Maize.
Duration and Termination
This agreement shall come into effect on the date that the Listing Application form is signed.
This agreement shall be effective and deemed binding by both parties until such time it is legally terminated.
Any party is entitled to terminate this agreement at any time, provided that the other party is notified in writing no less that 30 days prior to the date of the intended termination.
General Stipulations
The parties agree that the terms and conditions contained in this document represent the entire agreement between the parties.
This agreement shall not be capable of alteration or waiver or be subject to estoppels unless reduced to writing and signed by both parties.
No relaxation which either party may allow the other party, at any time whatsoever, regarding the other party’s obligations in terms of this agreement, shall prejudice either party’s rights hereunder in any manner whatsoever, nor shall such relaxation be regarded as a waiver of any rights in terms of this agreement.
All notices given by one party to the other in terms of this agreement shall be in writing by pre-paid registered letter or delivered by hand to the party’s address as stated in Section 2 of this agreement.
This agreement shall be governed in accordance with the laws of the Republic of South Africa. |
